SECTION 1: INTRODUCTION
1. DEFINITIONS; TERMS OF SALE
Paragraph 1
1.1 Definitions
All promotional products and/or services available through the website https://
goarra.com or any other website associated with WOIY TECHNOLOGIES (the
"Platform") are offered exclusively to independent consumer affiliates and selling
merchants (collectively referred to as "Users") and are subject to these Terms and
Conditions of Sale.
Paragraph 2
1.2 Role of WOIY TECHNOLOGIES
WOIY TECHNOLOGIES acts solely as a platform provider and does not directly engage
in the sale of products or services, except for WOIY TECHNOLOGIES-branded
products. The selling merchant is the actual seller of the products or services
purchased by the consumer affiliate. WOIY TECHNOLOGIES is not responsible for
issuing official receipts, except for those related to WOIY TECHNOLOGIES-branded
products and services, and does not handle requests for refunds or exchanges for
products or services purchased from a selling merchant. Once a consumer affiliate
places an order by clicking the “Order Purchase” button on the Platform, a Last Order
Key reference number ("LOK") is generated. This LOK must be submitted to the
selling merchant to confirm and approve the purchase request. The selling merchant
shall process the sale after confirming the LOK provided. Any disputes, requests for
refunds, or exchanges of goods and/or services must be resolved directly with the
selling merchant. In exceptional cases, WOIY TECHNOLOGIES may assist the
consumer affiliate by coordinating with the selling merchant regarding their refund
procedures.
Paragraph 3
1.3 Refund and Credit Policy
In cases where a refund is applicable, no cash will be returned. Instead, the consumer
affiliate’s account will be credited with Personal Purchase Points (PPP) equivalent to the
amount paid to the selling merchant.
Paragraph 4
1.4 Personal Purchase Points (PPP)
The selling merchant is responsible for issuing Personal Purchase Points (PPP). PPP is
redeemable with a value of 1 PPP = 1 Philippine Peso. The selling merchant assumes
full responsibility for any injuries, damages, claims, liabilities, or costs incurred by a
consumer affiliate in connection with the products or services purchased. This
responsibility includes any issues arising from unredeemed PPP.
SECTION 2: PURCHASE OF PRODUCTS
Paragraph 1
2.1 Compliance with Guidelines
By making purchases through the Platform, you agree to comply with all guidelines,
notices, operating rules, policies, and instructions provided by WOIY TECHNOLOGIES,
including any updates issued by WOIY TECHNOLOGIES from time to time. You are
deemed to be bound by these terms upon their publication on the Platform.
Paragraph 2
2.2 Merchants and Third-Party Vendors
Products are sold by selling merchants and/or third-party vendors ("Third Party
Vendors"). Products sold by Third Party Vendors are governed by separate customer
contracts, and all agreements regarding the purchase of such products are solely
between the consumer affiliate and the Third Party Vendor.

2.3 Product Description
While selling merchants and Third Party Vendors make reasonable efforts to provide
accurate descriptions of their products, neither WOIY TECHNOLOGIES nor the third-
party vendors warrant the accuracy, currency, or completeness of such descriptions. If
the product received differs materially from what was described, a replacement request
may be initiated.
Paragraph 4
2.4 Placing Orders
To place an order, you must click the “Add to Cart” button on the Platform. Selling
merchants will not accept orders placed by any other method. You are responsible for
ensuring the accuracy of the order before submitting it.
Paragraph 5
2.5 Irrevocable Orders
Once an order is placed through the Platform, it is considered irrevocable and
unconditional. The selling merchant is entitled to process the order without any further
consent from you.
Paragraph 6
2.6 Seller’s Reservation of Rights
All orders are subject to the selling merchant's acceptance at its sole discretion. Each
order accepted by the selling merchant constitutes a separate customer contract.
Paragraph 7
2.7 Pricing Errors
In the event of a pricing error, the selling merchant reserves the right to cancel the
order. You will be notified of the cancellation via the Platform’s message system.
Paragraph 8
2.8 Product Warranty
The product warranty provided by the selling merchant will be specified under the
"Product Warranty" section on the product page. The warranty is limited to the terms
set out by the selling merchant and is the only warranty provided, unless otherwise
required by applicable law.
Paragraph 9
2.9 Customer’s Acknowledgement
You acknowledge that you have not relied on any representation, inducement, or
warranty made by the selling merchant, other than those expressly stated in the
customer contract.
Paragraph 10
2.10 No Additional Warranties
To the fullest extent permitted by law, the selling merchant and WOIY
TECHNOLOGIES disclaim all warranties, whether express or implied, except for the
warranties provided in the customer contract and the product warranty.
Paragraph 11
2.11 Intellectual Property
You may not remove or alter any trademarks, logos, copyrights, or other identifying
marks from any product or product materials. Any intellectual property relating to the
product materials remains the exclusive property of the selling merchant or its
licensors.
SECTION 3: DELIVERY OF PRODUCTS
Paragraph 1
3.1 Delivery Address
The products will be delivered to the address specified by the consumer affiliate
during the order process.
Paragraph 2
3.2 Shipping and Packing Charges
Shipping and packing charges will be set by the selling merchant and are the
responsibility of the consumer affiliate.
Paragraph 3
3.3 Tracking Delivery
You may track the delivery of your product using the tracking information provided by
the selling merchant.
Paragraph 4
3.4 Delivery Timeframe
Delivery is subject to product availability. While the selling merchant will make
reasonable efforts to meet the estimated delivery time, delays may occur. The
consumer affiliate acknowledges that delivery times are not guaranteed and that
WOIY TECHNOLOGIES and the selling merchant will not be liable for any delay.
Paragraph 5
3.5 Deemed Receipt
If the product is not received by the projected delivery date, the selling merchant will
make efforts to locate and deliver the product. If the consumer affiliate does not
contact the selling merchant within three (3) days of the projected delivery date, the
product will be deemed to have been received.
Paragraph 6
3.6 Failure to Take Delivery
If the consumer affiliate fails to take delivery of the product, other than due to reasons
beyond their control, the selling merchant may terminate the customer contract.
SECTION 4: PRICES OF PRODUCTS
Paragraph 1
Listing Price
The price you pay as an consumer affiliate is the listing price at the time you place the
order.
Paragraph 2
Taxes
Listing prices are subject to taxes unless stated otherwise. The selling merchant can
change prices at any time, without notice or reason.
SECTION 5: PAYMENT FACILITIES
Paragraph 1
General
Payment can be made using methods specified by WOIY TECHNOLOGIES, INC.
Payment will only be processed once the selling merchant accepts the order. Payments
go directly to the selling merchant wallet.
Paragraph 2
Additional Terms
Payment methods may have additional terms, as prescribed by WOIY
TECHNOLOGIES, INC.
Paragraph 3
Payment Methods
You must adhere to the user agreements of your chosen payment method. You can't
claim against WOIY TECHNOLOGIES, INC. or the seller if there’s a payment issue.
WOIY TECHNOLOGIES, INC. can modify or discontinue payment methods without
notice.
Paragraph 4
Invoicing
Selling Merchants may send an invoice when payment is due under the customer
contract.
Paragraph 5
Failure to Pay
If payment is not made or cancelled, the seller can cancel the contract or suspend
delivery until payment is made in full.
Paragraph 6
Refund of Payment
Refunds will be processed to the original payment method or credited into your wallet
account. Refund processing times are not guaranteed, and fees may apply. Refunds
depend on the selling merchant acceptance of a valid return.
SECTION 6: RETURNS AND/OR REPLACEMENTS
Paragraph 1
Return Policy
Returns must follow selling merchant instructions. If approved, the seller will replace
the product.
Paragraph 2
Permitted Returns
You can return a product within specified periods (7 days for satisfaction guarantees, 2
days for buyer protection) if it's faulty, damaged, wrong, or doesn’t meet the
description or fit.
Paragraph 3
Replacement Products
Returned items become the seller’s property. These must be returned if requested after
replacement.
Paragraph 4
Risk of Damage or Loss
Risk passes to the consumer affiliate at delivery or when the consumer affiliate refuses
delivery.
Paragraph 5
Failure to Accept or Return Products
If you refuse or unjustifiably return products, the merchant will keep the product for 7
days before considering it abandoned. The product may be disposed of after that
period.
SECTION 7: QUESTIONS AND COMPLAINTS
Paragraph 1
Support
Contact WOIY TECHNOLOGIES, INC. for support or complaints. WOIY
TECHNOLOGIES, INC. will communicate with the selling merchant on your behalf.
SECTION 8: TERMINATION
Paragraph 1
Cancellation by You
You may cancel the contract at any time prior to dispatch of the goods. However, once
the goods have been dispatched, cancellation is no longer possible, and returns will
only be permitted in accordance with the return and exchange policy, provided the
goods are eligible for return under such policy..
Paragraph 2
Cancellation by Seller
The seller reserves the right to cancel or suspend the contract in the event that the
products become unavailable or if you are in breach of any terms of the contract.
SECTION 9: RISK AND PROPERTY OF THE GOODS
Paragraph 1
Risk of Damage or Loss
The risk of loss or damage to the products transfers to the consumer affiliate upon
delivery, or in the event that delivery is refused.
Paragraph 2
Ownership
The Ownership of the goods shall remain with the selling merchant until full payment
has been received..
Paragraph 3
Fiduciary Duty
Until ownership of the goods passes, you shall hold the goods in a fiduciary capacity as
an agent of the selling merchant and must promptly notify the merchant of any issues
or circumstances that may affect the ownership of the goods.
Paragraph 4
Demand for Return
The selling merchant reserves the right to demand the return of the goods if payment
is not completed in full.
Paragraph 4
No Pledge or Security
The consumer affiliate shall not pledge, assign, or use the goods as collateral or
security interest in any form until full ownership is transferred.Retention of Title
If these terms aren’t effective due to local law, a similar legal concept will apply.
Paragraph 5
Indemnity
The consumer affiliate agrees to indemnify, defend, and hold harmless WOIY
TECHNOLOGIES, INC., its affiliates, and any other relevant parties from and against
any and all losses, damages, claims, liabilities, or expenses arising out of or related to
the enforcement of these rights..
SECTION 10: LIMITATION OF LIABILITY
Paragraph 1
Sole Remedies
The remedies set forth herein shall constitute the exclusive and sole recourse available
to you in the event of any defects or non-conformity of the products.
Paragraph 2
Maximum Liability
The maximum liability of the selling merchant to you shall be strictly limited to the total
amount paid by you for the products.
Paragraph 3
Exclusion of Liability
WOIY TECHNOLOGIES, INC. shall not be held liable for any losses arising from
payment issues, product sales, or defects resulting from misuse, wear and tear,
negligence, or any other similar causes.
SECTION 11: GENERAL
Paragraph 1
References to WOIY TECHNOLOGIES, INC.
The term "WOIY TECHNOLOGIES, INC." refers to the actions of WOIY
TECHNOLOGIES, INC. as well as those of third-party selling merchants operating on
the platform.
Paragraph 2
Cumulative Rights and Remedies
The rights of WOIY TECHNOLOGIES, INC. are cumulative and shall not be affected by
the exercise of any other rights.
Paragraph 3
Warranties
Implied warranties, as provided under Philippine law, apply to the products sold
through the platform. These include, but are not limited to, warranties of
merchantability, fitness for a particular purpose, and non-infringement. The seller is
obligated to ensure that the goods conform to the standard expected by law and are
free from defects at the time of delivery. Any warranty claims must be made in
accordance with the return policy and applicable Philippine consumer protection laws..
Paragraph 4
No Waiver
The failure or delay by WOIY TECHNOLOGIES, INC. or any party to enforce any
provision of these Terms and Conditions shall not be construed as a waiver of any
rights or remedies under these terms. Any such failure or delay will not affect the right
of the affected party to enforce any of these terms in the future, nor will it limit the
scope of remedies available for any breach of these terms.
Paragraph 5
Severability
If any provision of this agreement is found to be invalid, illegal, or unenforceable by a
court of competent jurisdiction, such provision shall be deemed severed from the
agreement. The remainder of the agreement shall remain in full force and effect, and
the unenforceable provision shall be replaced by a provision that most closely reflects
the intent of the original provision, to the extent permitted by law.
Paragraph 6
Rights of Third Parties
Except as expressly provided herein, only the parties to this agreement shall have the
right to enforce its terms and conditions. No third party shall have any right to enforce
or benefit from any provision of this agreement, unless such right is granted by law or
specifically agreed to by the parties in writing.
Paragraph 7
Governing Law
This agreement shall be governed by and construed in accordance with the laws of the
Philippines. Any disputes arising out of or in connection with this agreement shall be
subject to the exclusive jurisdiction of the courts located in Fort Bonifacio Global,
Taguig City, Philippines.
Paragraph 8
Arbitration
Any disputes, controversies, or claims arising out of or in connection with this
agreement, including its existence, validity, interpretation, performance, breach, or
termination, shall be settled by arbitration in accordance with the rules of the Philippine
Dispute Resolution Center, Inc. (PDRCI), or any other agreed-upon arbitration body in
the Philippines. The arbitration shall be conducted in English, and the seat of
arbitration shall be in the Philippines. The decision of the arbitrator(s) shall be final and
binding on all parties.
Paragraph 9
Injunctive Relief
In the event of a breach or threatened breach of this agreement, the selling merchant
shall have the right to seek immediate injunctive relief, including but not limited to a
court order or injunction, to prevent or restrain such breach. This right is in addition to
any other remedies available under this agreement or applicable law.
Paragraph 10
Amendments
WOIY TECHNOLOGIES, INC. reserves the right to modify these Terms with notice
provided through the selling merchant. Continued use of the platform following such
modifications constitutes acceptance of the revised Terms.
Paragraph 11
Correction of Errors
The Selling Merchant may correct any errors in documentation without incurring
liability.
Paragraph 12
Currency
All monetary amounts are denominated in Philippine Pesos (PHP)
Paragraph 13
Language
The English version of these Terms shall prevail in the event of any discrepancies with
translated versions.
Paragraph 14
Entire Agreement
These Terms constitute the complete and exclusive agreement between the parties
with respect to the subject matter herein and supersede all prior agreements,
understandings, and negotiations, whether written or oral, between the parties. Any
previous agreements or communications relating to the subject matter of these Terms
are hereby null and void.
Paragraph 15
Binding and Conclusive
The records maintained by the Company and Selling Merchant, including electronic
records, shall be deemed binding and conclusive evidence of all transactions between
the parties. These records shall be final and not subject to dispute, unless proven to be
inaccurate or fraudulent..
Paragraph 16
Admissibility of Records
Electronic records shall be admissible as evidence in any legal proceeding and shall be
considered authentic and irrefutable, subject to applicable laws. These records cannot
be disputed except in cases of proven inaccuracy or fraud.
Paragraph 17
Subcontracting and Delegation
WOIY TECHNOLOGIES, INC. reserves the right to subcontract or delegate any of its
functions or obligations under these Terms without prior notice or consent.
Paragraph 18
Assignment
You may not assign or transfer any of your rights or obligations under these Terms
without the prior written consent. However, the Company reserves the right to assign
or transfer its rights and obligations under these Terms at its discretion.
Paragraph 19
Force Majeure
Neither WOIY TECHNOLOGIES, INC. nor the Selling merchant shall be held liable for
any failure or delay in performance under these Terms due to events or circumstances
beyond their reasonable control, including but not limited to acts of nature,
government actions, war, labor disputes, or technical failures.
SECTION 12: DEFINITIONS AND INTERPRETATION
Paragraph 1
1. Definitions.
Unless the context expressly requires otherwise, the following terms shall have the
meanings set forth below for the purposes of these Terms of Use:
Paragraph 2
"Business Day" – refers to any day, excluding Saturdays and Sundays, on which
commercial banks are generally open for business in the Philippines.
Paragraph 3
"Consumer Affiliate" – refers to an authorized user of the Platform and/or Services
who has registered via an active consumer affiliate link, accepted and acknowledged
the Terms of Use, Terms & Conditions of Sale, Privacy Policy, Income Disclaimer, and all
other applicable Rules, and has been granted exclusive access to the Platform.
Paragraph 4
"Customer Contract" – shall have the meaning ascribed to it in Section 2, Paragraph 6
of these Terms.
Paragraph 5
"Intellectual Property" – refers to all copyrights, patents, utility models, trademarks,
service marks, geographical indications, domain names, layout design rights, registered
designs, design rights, database rights, trade or business names, rights protecting
trade secrets and confidential information, rights protecting goodwill and reputation,
and all other similar or corresponding proprietary rights. This includes all applications
for such rights, whether existing now or in the future, anywhere in the world, whether
registered or unregistered. It also encompasses all benefits, privileges, and rights to
pursue legal action, recover damages, and obtain relief or other remedies for any past,
present, or future infringement, misappropriation, or violation of any of the
aforementioned rights.
Paragraph 6
“WOIY TECHNOLOGIES, INC.” – refers to WOIY TECHNOLOGIES, INC., a stock
corporation company pursuant to the laws of the Philippines under SEC registration
number 2025010183972-31, Philippines. Means WOIY TECHNOLOGIES, INC., its
affiliates and all of its respective officers, employees, directors, agents, contractors, and
assigns.
Paragraph 7
"Listing Price" – refers to the price at which Products are listed for sale to a Consumer
Affiliate, as specified on the Platform.
Paragraph 8
"Losses" – refers to all losses, settlement amounts, costs (including legal fees and
expenses on a solicitor-client basis), charges, expenses, actions, proceedings, claims,
demands, and any other liabilities, whether or not foreseeable.
"Reference Number (RN)" or "Quick Response Code (QR)" – refers to the unique
identifier assigned to your order for Products or cash-in request submitted through the
Platform, in accordance with the Terms & Conditions of Sale.
Paragraph 9
"Password" – refers to the valid password that a Consumer Affiliate, who has an
account with WOIY TECHNOLOGIES, INC., may use in combination with their User ID
or Name to log in and access the relevant Platform and/or Services.
Paragraph 10
"Personal Data" – refers to any data, whether accurate or not, that can be used to
identify, contact, or locate you. Personal Data includes, but is not limited to, your
name, email address, billing address, shipping address, phone number, and mobile
phone number.
Paragraph 11
"Platform" – refers to (a) both the web and mobile versions of the website operated
and/or owned by WOIY TECHNOLOGIES, INC., currently accessible at the following
URL: https://goarra.com; and (b) any mobile applications, including progressive web
application (PWA) versions, made available by WOIY TECHNOLOGIES, INC. from time
to time.
Paragraph 12
"Goods and Services" – refers to any product (including any installment or component
thereof) available for sale to a Consumer Affiliate on the Platform.
Paragraph 13
"Product Warranty" – refers to the warranty provided for a product sold on the
Platform by the Selling Merchant, covering any specified terms and conditions related
to the product's quality, functionality, or performance.
Paragraph 14
"Return Policy" – refers to the return policy set forth in Section 6, Paragraphs 1
through 5, under the heading "Third Party."
Paragraph 15
“Vendor” – means a seller or merchant which, with WOIY TECHNOLOGIES, INC.
permission, uses the Platform and/or Services to sell Products to a consumer affiliate,
and excludes WOIY TECHNOLOGIES, INC.
Paragraph 16
"Seller" or "Merchant" – refers to a seller of Products as described in Section 2,
Paragraph 2, and includes any Third-Party Vendor.
Paragraph 17
“Services” – means services, information, and functions made available by the selling
merchant at the Platform.
Paragraph 18
“Terms & Conditions of Sale” – means Sections 1 to 11 and any Schedules to these
terms and conditions.
Paragraph 19
“Terms of Use” – means the terms and conditions governing the consumer affiliate’s
use of the Platform and/or Services.
Paragraph 20
“Trademarks” – means the trademarks, service marks, trade names, and logos used
and displayed on the Platform, including the WOIY TECHNOLOGIES, INC. trademark,
which is a property of WOIY TECHNOLOGIES, INC.
Paragraph 21
"User ID" / "User Name" – refers to the unique identification number or code
assigned to a Consumer Affiliate with an account at WOIY TECHNOLOGIES, INC.,
used for logging into the Platform.
Paragraph 22
"Personal Purchase Points (PPP)" – refers to the points credited to your account each
time you purchase products from the Selling Merchant that qualify the Consumer
Affiliate for the ARRA program
Paragraph 23
"WOICoin" – refers to the electronic token credit earned each time you receive a DAR
commission, which may be redeemed towards the purchase of a dream house and lot,
car, or other products available in the DAR store.
Paragraph 24
"You" and "your" – refer to individuals who are over the age of 18 or, if under the age
of 18, are under the supervision of a parent or legal guardian in their country of
residence.
2. Interpretation:
Paragraph 1
Any reference in these Terms & Conditions of Sale to a provision of any statute shall be
construed as a reference to that provision as amended, re-enacted, or extended at the
relevant time. In these Terms & Conditions of Sale, the words “include,” “includes,” or
“including” shall be interpreted as being followed by the words “without limitation.”
Unless expressly stated otherwise, all references to a number of days refer to calendar
days, and the words “month” or “monthly,” as well as any references to a number of
months, refer to calendar months. Clause headings are inserted for convenience only
and shall not affect the interpretation of these Terms & Conditions of Sale. In the event
of a conflict or inconsistency between any provisions of these Terms & Conditions of
Sale, whether contained in the same or different documents, such conflict or
inconsistency shall be resolved in favor of WOIY TECHNOLOGIES, INC., and the
provision most favorable to WOIY TECHNOLOGIES, INC. shall prevail. Any terms or
conditions relating to the product or service you purchased through the https://
goarra.com Platform are strictly between you and the Selling Merchant, who is
responsible for delivering the product or service as posted on the Platform.
Furthermore, you hereby release and hold WOIY TECHNOLOGIES, INC. harmless from
any and all liability arising from the payment you have made, as all liability shall remain
with the Selling Merchant.
