INTRODUCTION

Paragraph 1: Welcome to http://goarra.com (hereinafter referred to as "WOIY

TECHNOLOGIES, INC." or "WOIY"). Please read these Terms and Conditions

("Terms") carefully. The following Terms govern your access to and use of the platform

and services provided by WOIY TECHNOLOGIES, INC. ("WOIY" or "the Company").

By accessing the platform and/or using the services, you agree to be bound by these

Terms. If you do not agree with these Terms, you must refrain from accessing and/or

using the platform and services.

Paragraph 2: Access to password-protected or secure areas of the platform and/or

services is strictly limited to registered users with valid accounts. Unauthorized access

to such areas or any other protected information is expressly prohibited. You shall not

attempt to gain unauthorized access to any portion of the platform or services by any

means not intentionally made available by WOIY for your use.

Paragraph 3: If you are under the age of 18, you must obtain consent from your

parent(s) or legal guardian(s), who must agree to these Terms and assume responsibility

for your actions, including any charges incurred as a result of your use of the services or

the purchase of products, as well as your compliance with these Terms. If such consent

is not obtained, you are required to immediately cease using the platform and services.

SECTION 1: DEFINITIONS

Paragraph 1: WOIY TECHNOLOGIES, INC. ("WOIY") operates an interactive online

service, referred to as "the platform," which includes various services, such as

information services, content, and transaction capabilities, provided by WOIY,

Independent Selling Merchants, Independent Affiliates, and third parties. Unless

otherwise defined herein, all terms and definitions as set forth in WOIY’s Terms &

Conditions of Sale shall apply to these Terms and Conditions.

SECTION 2: GENERAL USE OF PLATFORM

Paragraph 1: This Agreement sets forth the terms and conditions governing your use

of the platform. By accessing or using the platform (other than for the purpose of

reviewing this Agreement for the first time), you agree to comply with and be bound by

all terms and conditions herein. The right to use the platform is personal to you and is

non-transferable. You are solely responsible for maintaining the confidentiality of your

uninterrupted access to the platform, service disruptions may occur, and WOIY shall

not be liable for any loss of data or other issues arising from such interruptions. WOIY

reserves the right, at its sole discretion, to modify, alter, or discontinue any feature or

service of the platform at any time, without prior notice.

SECTION 3: GUIDELINES FOR USE OF SERVICES

Paragraph 1:

You hereby agree to comply with all guidelines, operating rules, policies, and

instructions pertaining to the platform and services, including any amendments or

modifications thereto. WOIY TECHNOLOGIES, INC. ("WOIY") reserves the right to

amend or revise these guidelines at any time, and such amendments or revisions shall

become binding upon you upon their publication on the platform. You acknowledge

and agree that it is your responsibility to regularly review the platform for any updates

to these guidelines.

SECTION 4: CONTENT OF ADVERTISING MATERIALS

Paragraph 1:

You agree not to use, reproduce, or advertise any materials belonging to other

platform members (including, but not limited to, name cards, posters, blogs, emails,

and similar content) without the explicit prior written consent of the respective owner.

Unauthorized use shall include, but is not limited to, the following actions:

1. Posting or distributing defamatory, libelous, or otherwise harmful content.

2. Impersonating others or misrepresenting your relationship or affiliation with any

individual, entity, or organization.

3. Utilizing the platform for any unlawful or illegal purpose, or uploading unlawful

content.

4. Attempting to gain unauthorized access to the platform, systems, networks, or

any restricted areas thereof.

5. Promoting, distributing, or engaging in the use of content that encourages or

facilitates unlawful activities, including but not limited to fraud, violence, or other

illegal acts.

Paragraph 2:

You further agree not to upload, distribute, or use any software, materials, or other

content that may contain or be associated with malicious code, viruses, malware, or any

other harmful components that could disrupt, damage, or interfere with the normal

operation of the platform or the functioning of any device or system of other users.

SECTION 5: AVAILABILITY OF PLATFORM AND SERVICES

Paragraph 1:

WOIY TECHNOLOGIES, INC. ("WOIY") reserves the right, in its sole discretion, to

modify, suspend, or discontinue the platform and/or any of its services, in whole or in

part, at any time, without prior notice and for any reason. WOIY shall not be liable for

any interruption, disruption, or loss of service resulting from such modifications,

suspensions, or discontinuations.

Paragraph 2:

WOIY reserves the right to monitor the content on the platform, including, but not

limited to, chat rooms, forums, and other user-generated content areas, to ensure

compliance with this Agreement and all applicable laws and regulations. WOIY may, at

its sole discretion, remove any content, materials, or submissions that it deems

objectionable, inappropriate, or in violation of the terms of this Agreement.

SECTION 6: USE OF SERVICES

Paragraph 1:

The use of the platform and services is subject to additional specific terms and

conditions that govern access and participation, as may be amended from time to

time.

Paragraph 2:

Use of the platform is strictly limited to legal adults who are capable of forming binding

contracts under applicable law. Any individual who violates the Terms or is suspended

from using the services shall be prohibited from accessing the platform and/or services.

Paragraph 3:

You agree to use the platform and services solely for lawful purposes and to ensure that

any data, content, or information you post or submit is accurate, complete, and not

misleading. You assume full responsibility for the content that you submit, and agree to

indemnify WOIY for any liabilities arising from your submissions.

Paragraph 4:

All product listings made available on the platform are subject to applicable taxes,

unless explicitly stated otherwise. Independent Selling Merchants may adjust the listing

prices of their products, provided that such adjustments are subject to the prior

approval of WOIY.

Third-Party Vendors:

You acknowledge and agree that third-party vendors and independent selling

merchants may list and sell products through the platform. Any agreements,

transactions, or disputes arising from such listings are solely between the buyer and the

third-party vendor or merchant. WOIY is not a party to such agreements and shall not

be responsible for any issues that may arise in connection with these transactions.

SECTION 7: COMMUNITY AFFILIATE MEMBERS AND SELLING MERCHANT

ACCOUNTS

Paragraph 1:

To access certain services offered by WOIY, you may be required to create an account.

You are solely responsible for maintaining the confidentiality and security of your login

credentials. In the event that you suspect any unauthorized access to your account, you

must promptly notify WOIY to mitigate any potential risks.

Paragraph 2:

You acknowledge and agree that any access or use of the platform through your

account credentials, regardless of whether such access was authorized by you, shall be

deemed your responsibility. You further agree to fully indemnify, defend, and hold

WOIY harmless from any and all losses, damages, liabilities, costs, or expenses arising

from or related to the unauthorized use of your account.

SECTION 8: INTELLECTUAL PROPERTY OWNERSHIP

Paragraph 1:

The intellectual property rights in and to the platform and all associated materials,

including but not limited to content, software, and designs, are owned by WOIY, its

licensors, or service providers. WOIY reserves all rights to enforce its intellectual

property rights to the fullest extent permitted by applicable law.

Paragraph 2:

You may not reproduce, modify, distribute, or otherwise exploit any part of the platform

or its materials without the prior written consent of WOIY or the relevant copyright

owner. You are permitted to use the materials solely for personal, non-commercial

purposes, provided that you do not alter or modify them in any manner.

Paragraph 3:

Any trademarks displayed on the platform are either registered or pending registration

under the applicable intellectual property laws. You are prohibited from using any of

these trademarks without the express written permission of WOIY or the respective

trademark owner.

SECTION 9: LIMITATION OF RESPONSIBILITY AND LIABILITY

Paragraph 1:

The services, platform, and materials are provided "as-is" and "as available." WOIY

makes no representations or warranties, express or implied, regarding the accuracy,

completeness, security, or availability of the platform or services. You access and use

the platform at your own risk, and WOIY disclaims all liability for any errors,

interruptions, or security breaches in the platform or services.

Paragraph 2:

WOIY shall not be liable for any direct, indirect, incidental, consequential, or punitive

losses or damages arising from your use or inability to use the platform, including, but

not limited to, reliance on inaccurate information, system failures, or any interruptions

in service.

Paragraph 3:

You acknowledge and accept all risks associated with accessing and using the platform

and services. WOIY shall not be held liable for any damages, expenses, or losses,

including without limitation, any loss of data, profits, or business opportunities,

resulting from your use of the platform or services.

SECTION 10: HYPERLINKS, AND ALERTS

Paragraph 1:

You hereby agree to comply with all guidelines, notices, operating rules, policies, and

instructions regarding the use of the services and/or access to the platform, including

any amendments or updates thereto, as issued by WOIY from time to time. WOIY

reserves the right to modify, revise, or amend these guidelines, notices, operating

rules, policies, and instructions at its sole discretion. You acknowledge that you will be

deemed to have been made aware of and bound by any such changes upon their

publication on the platform.

SECTION 11: YOUR SUBMISSIONS AND INFORMATION

Paragraph 1: Submissions by You

By submitting materials or information to the platform or providing us with any content,

including but not limited to questions, reviews, comments, and suggestions

(collectively, "Submissions"), you hereby grant WOIY a non-exclusive, royalty-free,

worldwide, sublicensable license to use, display, reproduce, modify, adapt, publish,

translate, distribute, and otherwise exploit such Submissions in any medium or format

now known or later developed. When you post any comments, reviews, or other

content on the platform, you also grant us the right to use your name, username, or

any associated identifier (whether as an Independent Affiliate Member or Selling

Merchant) in connection with such content. You agree not to use a false email address,

impersonate any person or entity, or otherwise mislead WOIY or third parties regarding

the origin of any Submissions. WOIY reserves the right, but is not obligated, to publish,

remove, or edit any Submissions at its sole discretion.

Paragraph 2: Consent to Receive Emails

By submitting your information, you expressly consent to the collection, processing,

and use by WOIY of your personal data and other information for the purposes of

sending you informational, promotional, and marketing communications, including

notices, updates, and other relevant content. This consent is provided voluntarily and

constitutes your agreement to comply with any applicable spam control laws, including

those in the Philippines and other jurisdictions. You may withdraw your consent to

receive promotional emails at any time by following the unsubscribe instructions

included in such emails. Additionally, WOIY may be required, from time to time, to

disclose certain information as part of government audits or investigations. You

acknowledge and agree that WOIY is not obligated to challenge or contest any such

request for information from governmental authorities.

Paragraph 3: Privacy Policy

By using the platform and services, you acknowledge that you have read, understood,

and agree to the terms of the Privacy Policy. You further consent to the collection, use,

processing, and disclosure of your personal data as outlined in the Privacy Policy, in

accordance with applicable laws and regulations.

SECTION 12: TERMINATION OF THE USE OF PLATFORM AND/OR SERVICES

Paragraph 1: Termination by Us

We reserve the right, in our sole and absolute discretion, to terminate your access to

the platform and/or services and/or disable your independent affiliate member and

selling merchant username and password with immediate effect, upon providing notice

to you. Access to the platform and/or services (or any part thereof) may be suspended

or terminated for any reason, including but not limited to a breach of these Terms and

Conditions, a violation of any terms or conditions herein, or if we, or any relevant

regulatory authority, deem it inappropriate to continue providing the services related to

the platform.

Paragraph 2: Termination by You

You may terminate these Terms and Conditions at any time by providing us with no less

than seven (7) days' written notice of your intent to terminate.

SECTION 13: NOTICES

Paragraph 1: Notices from Us

All notices or other communications from us shall be deemed effectively given to you if

communicated through print, short message service (SMS), chat message in your inbox,

or any other electronic medium as we may select. Such notices shall be deemed to

have been received by you on the date of publication or transmission. In the case of

notices sent by post or left at your last known address, such notices shall be deemed to

have been received by you on the day following the date of posting or when left at

your address.

Paragraph 2: Notices from You

Any notice or communication from you to us must be provided in writing and sent to

our designated address or email address. Such notice will be deemed received by us

upon actual receipt. While we make reasonable efforts to respond promptly to notices

from you, we do not guarantee a specific response time or consistency in our response.

Paragraph 3: Other Modes

We may, from time to time, designate additional acceptable methods of providing

notice, such as email, SMS, chat messages, or other electronic communications. In such

cases, we will specify the time or event upon which such notice will be deemed

effectively given.

SECTION 14: GENERAL

Paragraph 1: Cumulative Rights and Remedies

Unless expressly provided otherwise in these Terms of Use, the provisions herein and

our rights and remedies under these Terms shall be cumulative and in addition to any

rights or remedies we may have at law or in equity. The exercise of any one right or

remedy shall not preclude or restrict the exercise of any other right or remedy.

Paragraph 2: No Waiver

Our failure to enforce any provision of these Terms of Use shall not be construed as a

waiver of such provision, nor shall it affect our right to enforce such provision at any

time thereafter. We shall retain the right to assert and enforce our rights and remedies

in the event of any breach by you of these Terms.

Paragraph 3: Severability

In the event that any provision of these Terms of Use is deemed illegal, invalid, or

unenforceable in any jurisdiction, the legality, validity, and enforceability of the

remaining provisions of these Terms shall not be affected, and the offending provision

shall be severed from the remainder of these Terms, which shall remain in full force and

effect.

Paragraph 4: Rights of Third Parties

No person or entity who is not a party to these Terms shall have any right to enforce

any provision hereof, regardless of whether such person or entity is specifically

identified by name or description. This, however, does not affect the rights of any

permitted assignee or transferee of these Terms.

Paragraph 5: Governing Law

The use of the platform and services, as well as these Terms of Use, shall be governed

by and construed in accordance with the laws of the Philippines. You agree to submit

to the exclusive jurisdiction of the courts of the Philippines. Any dispute, controversy, or

claim arising out of or in connection with these Terms shall be resolved through

arbitration in accordance with Republic Act No. 9285 or the Alternative Dispute

Resolution Act of 2004.

Paragraph 6: Injunctive Relief

We reserve the right to seek immediate injunctive relief, including but not limited to

temporary restraining orders, should we determine in good faith that a breach or non-

performance of these Terms is such that injunctive relief is the only appropriate remedy.

Paragraph 7: Amendments

We may, at our discretion, amend or vary these Terms of Use through publication on

the platform or by other means, including but not limited to email, SMS, or chat

message. Such amendments will take effect on the date specified therein. By

continuing to use the platform or services after such amendments, you will be deemed

to have accepted the revised Terms. Should you not accept the changes, you must

cease using the platform and terminate these Terms.

Paragraph 8: Correction of Errors

We reserve the right to correct any typographical, clerical, or other errors or omissions

in any acceptance, invoice, or other document without liability on our part.

Paragraph 9: Currency

References to monetary amounts in these Terms of Use are denominated in Philippine

Pesos (PHP).

Paragraph 10: Language

If these Terms of Use are executed or translated in a language other than English, the

English language version shall prevail and take precedence over any translated

versions.

Paragraph 11: Entire Agreement

These Terms of Use constitute the entire agreement between you and us concerning

the subject matter herein and supersede all prior understandings, agreements, or

communications, whether written or oral, relating to the subject matter of these Terms.

Paragraph 12: Binding and Conclusive

Records maintained by us or our service providers in relation to the platform and

services shall be binding and conclusive upon you for all purposes and shall be

admissible as evidence in any legal proceedings.

Paragraph 13: Subcontracting and Delegation

We reserve the right to delegate or subcontract any of our functions, duties, or

obligations related to the platform or services to third-party service providers or

subcontractors, on terms that we consider appropriate.

Paragraph 14: Assignment

You may not assign or transfer any of your rights under these Terms without our prior

written consent. We may assign our rights under these Terms to any third party at our

discretion.

Paragraph 15: Force Majeure

We shall not be liable for any non-performance or delay in performance under these

Terms to the extent such performance is delayed or prevented by events beyond our

reasonable control, including but not limited to acts of God, natural disasters,

terrorism, strikes, governmental action, or technological failures.

SECTION 15: DEFINITIONS OF TERMS

Deﬁnitions

For purposes of these Terms of Use, the following terms shall have the meanings

ascribed to them below:

"Consumer Afﬁliate" refers to any individual that accesses or uses the platform,

services, or products provided by WOIY TECHNOLOGIES, INC., including any

registered users, purchasers, or participants.

"Intellectual Property" refers to all patents, trademarks, copyrights, trade

secrets, and other proprietary rights, including any associated rights or interests,

whether registered or unregistered, that are owned or licensed by WOIY

TECHNOLOGIES, INC. or its affiliates.

•

"WOIY TECHNOLOGIES, INC." or "GOARRA" refers to the entity operating

the platform and providing the associated services, including any of its

subsidiaries, affiliates, and other related entities.

•

"Listing Price" refers to the price at which products are listed for sale by

Independent Selling Merchants or third-party vendors on the platform, exclusive

of applicable taxes, shipping, or additional fees, unless otherwise specified.

•

"Losses" refers to any losses, damages, liabilities, expenses, costs (including

legal fees), or any other detrimental financial consequences arising from your

use or inability to use the platform or services, including any claims arising from

third parties.

•

"Materials" refers to all content, data, information, images, designs, software,

and other materials provided on or through the platform, including any content

submitted by you or other users of the platform.

•

"Order Request" refers to a request made by a consumer affiliate through the

platform to purchase a product or service offered by an Independent Selling

Merchant or third-party vendor.

•

"Password" refers to a unique set of characters selected by you during the

registration process, which, along with your username, provides access to your

account and the platform's secure areas.

•

"Personal Data" refers to any information that can identify you or is related to

you personally, including but not limited to name, contact information, payment

details, and other personally identifiable information, as further described in the

"Platform" refers to the website and associated web-based application(s)

operated by WOIY TECHNOLOGIES, INC., through which you access and use

the services provided by WOIY, Independent Selling Merchants, Independent

Affiliates, and third-party vendors.

•

"Product" refers to any goods, services, or other items listed, marketed, or sold

by Independent Selling Merchants or third-party vendors on the platform.

•

"Services" refers to all services, features, and functionalities provided by WOIY

TECHNOLOGIES, INC. through the platform, including but not limited to

facilitating transactions, providing access to third-party vendor products,

customer support, and any other service associated with the platform.

SECTION 16: INTERPRETATION OF TERMS

Paragraph 1

Any reference in these Terms of Use to any provision of a statute shall be construed as

a reference to that provision as amended, re-enacted, or extended at the relevant time.

Paragraph 2

In this Agreement, whenever the words "include," "includes," or "including" are used,

they shall be deemed to be followed by the words "without limitation."

Paragraph 3

Unless expressly indicated otherwise, all references to several days shall mean calendar

days, and the words "month" or "monthly," as well as all references to several months,

shall mean calendar months.

Paragraph 4

Clause headings are inserted for convenience only and shall not affect the

interpretation of these Terms of Use.

Paragraph 5

In the event of a conflict or inconsistency between any two or more provisions of these

documents, such conflict or inconsistency shall be resolved in favor of WOIY

TECHNOLOGIES, INC., and the provision which is more favorable to WOIY

TECHNOLOGIES, INC. shall prevail.
